Welcome to Velonix App. These Terms & Conditions ("Terms") govern your access to and use of our Software-as-a-Service (SaaS) platform, available at velonix.app, including any related services, applications, and tools (collectively, the "Service").

By creating an account or using the platform, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

To use our platform, you must:

• Be at least 21 years old.
• Provide accurate and complete registration information.
• Be authorized to act on behalf of your car rental business (if registering as a business).

2. Account Types

Business Accounts (Suppliers):
Car rental companies or individual vehicle owners may register for one of our subscription plans to manage their fleet, customers, and reservations through the platform.

User Accounts (Renters):
Individual users can create an account to browse available vehicles and make reservations.

Important Notice: Velonix App does not rent vehicles directly. All rental agreements, charges, obligations, and liabilities are exclusively between the renter and the respective business or individual supplying the vehicle.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3. Subscription & Payment

• Business users are billed monthly based on the plan selected (e.g., Starter, Business, Enterprise).
• All fees are non-refundable unless stated otherwise.
• Subscriptions renew automatically unless cancelled before the next billing cycle.
• Velonix App may adjust pricing and will notify users of changes in advance.

4. Use of the Service

You agree to use the Service only for lawful purposes and in compliance with all applicable laws. You may not:

• Use the platform for fraudulent or illegal activities.
• Reverse engineer, copy, or resell any part of the Service.
• Impersonate any person or business.
• Upload or transmit harmful code, viruses, or malware.

5. Intellectual Property

All content, features, and functionality of the Service, including logos, designs, software, and databases, are owned by Velonix App and protected by copyright, trademark, and other laws. You may not use our branding or content without prior written permission.

6. Reservation Transactions

• Users may book vehicles directly through the platform.
• Velonix App only provides the technological platform to connect renters with vehicle owners or rental companies.
• Velonix App is not a party to any rental agreement.
• All obligations regarding the condition of the vehicle, insurance coverage, tolls, deposits, additional charges, or any disputes are the exclusive responsibility of the rental company or individual owner.

Mandatory Conditions by Suppliers:

• Some rental companies may require the renter to purchase mandatory insurance as part of the reservation process.
• Some rental companies may also require the renter to acquire Unlimited Tolls packages or similar services.
• These requirements are determined solely by the supplier, and Velonix App bears no responsibility for such policies.

7. Termination

Velonix App reserves the right to suspend or terminate your account if:

• You violate these Terms.
• You fail to pay subscription fees.
• Fraudulent or abusive activity is suspected.

Termination does not relieve you of any outstanding payment obligations.

8. Limitation of Liability

To the maximum extent permitted by law, Velonix App shall not be liable for:

• Failures, disputes, or damages arising from any rental transaction.
• Vehicle quality, availability, mechanical condition, delivery, or safety.
• Financial losses, deposits, or refunds related to agreements between renters and suppliers.
• Indirect, incidental, or consequential damages, including loss of profits.
• Any legal obligations, fines, or incidents (accidents, traffic violations, insurance disputes, toll usage) that occur during the rental period.

Disclaimer: Renters and suppliers acknowledge and accept that Velonix App functions solely as a marketplace platform, not as a vehicle rental provider.

9. Indemnification

You agree to indemnify and hold harmless Velonix App, its affiliates, officers, and employees from any claims, liabilities, or expenses arising out of:

• Your use of the platform.
• Your violation of these Terms.
• Any rental agreement, dispute, or incident between you and a third-party supplier or renter.

10. Changes to Terms

We may update these Terms at any time. Continued use of the platform after changes are posted constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of Florida. Any disputes shall be resolved in the courts of Florida.
